Michelle DiCintio
Michelle S. DiCintio is a corporate and transactional attorney with nearly 20 years of experience representing both established and early-stage companies.  She practices principally in the areas of corporate transactions (mergers and acquisitions, commercial and government contracting transactions), corporate governance, compliance and policy development, corporate finance and general employment issues.  Michelle serves as principal outside counsel to businesses in such fields as defense, government services and information technology.  Over her career, Michelle has served as lead in over 100 merger and acquisition transactions, ranging from $500,000 to over $1 billion.  She also routinely partners with smaller companies as their outsourced general counsel.

Prior to joining Protorae, Michelle held senior executive positions with three companies.  She was the Founder and President of Corporate Counsel Consulting, which delivered strategic corporate and transactional guidance to its clients.  Before reentering private practice, Michelle was the Senior Vice President, General Counsel and Corporate Secretary for Serco, Inc., a government contractor serving the federal IT services market with approximately $700 million in annual revenue and over 7,000 employees worldwide.  Prior to Serco, Michelle was Vice President and Associate General Counsel at General Dynamics.  There she managed more than 50 merger and acquisition transactions, and was responsible for advising management in connection with securities reporting and stock exchange requirements, corporate governance and compliance matters and corporate finance activities.

Michelle was an attorney with the law firms of Jenner & Block and Dickstein Shapiro before joining General Dynamics.

Michelle holds a J.D. from the University of Virginia School of Law, and a B.A. from the University of Redlands.  She is a member of the District of Columbia and Virginia state bars.

Michelle lives in Vienna with her husband, Tim, an attorney with the National Fish and Wildlife Foundation, and their two sons.
